Experience
Prior to founding M&A Tax Solutions in 2014, Jay spent over 15 years at PwC working primarily in the M&A Tax practice of the Atlanta and Washington, DC National offices. In this role, he led the tax structuring and due diligence efforts on hundreds of transactions across a broad range of industries, ranging in size from $5M to $3B, and served private equity funds, corporate / strategic businesses, family offices, lenders and investment banks. Jay also provided various pre and post-deal specialty M&A tax consulting services to several Fortune 500 companies across the Southeast. Jay has significant experience (25+ years) in the areas of buy and sell-side tax due diligence and tax structuring. In addition, he has deep expertise in and frequently assists companies with tax-free reorganizations and liquidations, tax attribute planning (e.g., section 382), legal entity simplification, debt restructurings and re-capitalizations, stock / asset basis and earnings and profits calculations, consolidated return issues and various other post-deal tax integration planning. Jay’s expertise has led to frequent speaking engagements on the subject of M&A tax planning at industry seminars, such as those hosted by the Tax Executives Institute (TEI) and the M&A Source, and he has been published in The Tax Adviser. Jay is also a volunteer instructor of the M&A Tax section of a graduate level accounting course at Kennesaw State University and a winner of the 40 under 40 Emerging Leaders Award as selected by The M&A Advisor. Education/Certifications Jay earned both his B.B.A. in Accounting and Masters of Accountancy (with a specialization in Tax) from the University of Georgia. He is a licensed CPA in the state of Georgia and a member of the American Institute of Certified Public Accountants, Georgia Society of CPAs, Association for Corporate Growth, Atlanta Tax Forum, Southern Capital Forum and American Bankruptcy Institute. |
