Matt Martin

Experience
Matt has 15+ years of extensive experience advising clients with respect to M&A transactions that includes: tax structuring, tax due diligence and other transaction tax advisory services to public and private companies in various industries, private equity sponsors, and investment banks. Matt has consulted on a variety of M&A transactions including: acquisitions, dispositions, tax-free reorganizations, tax-free spinoffs, bankruptcies, debt restructurings, legal entity rationalizations, and post-deal integration projects. Matt has significant experience working with and advising private equity sponsors (from middle market to some of the world’s largest) and their portfolio companies across a range of tax issues throughout the lifecycle of their investment period (and beyond). Matt also has deep technical knowledge and experience advising clients on stock basis and earnings & profits computations, tax-free reorganizations, debt modifications, transaction cost analyses, strategies for the preservation and utilization of net operating losses and other tax attributes (section 382, SRLY planning), consolidated return issues, disposition planning, and planning with partnerships. Prior to joining M&A Tax Solutions, Matt was a Senior Manager in Ernst & Young’s Central Region Transaction Tax Advisory practice. Education/Certifications Matt earned both his B.B.A. in Accounting and Masters of Accountancy (with a specialization in Tax) from the University of Georgia. He is a licensed CPA in the state of Georgia and a member of the American Institute of Certified Public Accountants and the Georgia Society of CPAs. |
