Experience
Jason has 15+ years of extensive experience advising clients on a broad range of U.S. federal tax matters, with a primary focus on M&A transactions, including tax structuring, tax due diligence and other transaction tax advisory services. His advisory work spans acquisitions, dispositions, tax-free reorganizations, tax-free spin-offs, debt restructurings, recapitalizations, and post-deal integration planning. Jason has counseled private equity sponsors, domestic and foreign corporations and high net worth individuals across transactions ranging from middle market deals to large scale cross border transactions. Jason brings deep technical expertise across the full lifecycle of M&A transactions, including tax structuring, purchase agreement negotiations, Section 382 ownership change analyses, Section 338 calculations, and global cash tax modeling. He also has significant experience overseeing U.S. tax matters for an ultra high net worth individual, which included a large portfolio of foreign subsidiary corporations and entities. Prior to joining M&A Tax Solutions, Jason was a Senior Principal at Rödl & Partner in their U.S. National Tax Practice. Before that, Jason was a Senior Manager in KPMG's New York M&A Tax practice and a Senior Manager in Ernst & Young's New York Transaction Tax practice. Education/Certifications Jason earned his J.D. from Hofstra University School of Law and his B.S. in Finance from the Robert H. Smith School of Business at the University of Maryland, College Park. He is admitted to the Connecticut Bar Association. |
